1. Introduction

Welcome to Propovo, a professional proposal creation and management platform that helps businesses and freelancers create, customize, send, and track business proposals. These Terms of Service ("Terms") govern your access to and use of Propovo and its related services (collectively, the "Service"). Propovo is owned and operated by Xirosys Cloud Pvt Ltd ("Xirosys", "we", "us", or "our"), a company registered in India.

By accessing or using Propovo, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service. We recommend that you read these Terms carefully before using Propovo.

2. Eligibility

You must be at least 18 years old to use Propovo for business purposes. By using Propovo, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are using Propovo on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

You are responsible for ensuring that your use of Propovo complies with all laws, rules, and regulations applicable to you and in your jurisdiction. If your use of Propovo would be prohibited by applicable law, you are not authorized to access or use the Service.

3. User Accounts

To use Propovo, you must create an account. When you create an account, you must provide accurate, current, and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

You agree to:

• Provide accurate information when registering and keep your information up-to-date
• Maintain the confidentiality of your password and account
• Notify us immediately if you discover or suspect any security breaches related to your account
• Accept responsibility for all activities that occur under your account

You may not share your account credentials with any third party. We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or no longer current.

4. Use of the Service

You may use Propovo only for lawful business purposes and in accordance with these Terms. You agree not to use Propovo:

• In any way that violates any applicable law or regulation
• To create fraudulent, misleading, or deceptive proposals
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To transmit any material that contains software viruses or any other computer code designed to disrupt, damage, or limit the functioning of any computer software, hardware, or telecommunications equipment
• To impersonate or attempt to impersonate Propovo, a Propovo employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of Propovo
• To send unsolicited commercial communications or spam through our platform

We reserve the right to terminate or restrict your access to Propovo for any violation of these Terms or for any other reason at our sole discretion.

5. Proposal Creation and Client Communications

Propovo allows users to create, customize, and send business proposals to their clients. When using our proposal services, you are solely responsible for:

• The accuracy and completeness of all proposal content
• Ensuring your proposals comply with all applicable laws and regulations
• Honoring the terms and commitments made in your proposals
• Obtaining necessary permissions to send proposals to clients
• Managing client relationships and communications
• Fulfilling any agreements resulting from accepted proposals

Propovo is not liable for any disputes that may arise between you and your clients regarding proposals, agreements, or business transactions. Any issues should be resolved directly between the involved parties.

6. Payment and Subscriptions

Certain features of Propovo require a paid subscription. If you choose to purchase a subscription, you agree to pay all fees and charges associated with your account on a timely basis and in the currency stated at the time of purchase.

We reserve the right to change our pricing at any time. If we change our prices, we will provide notice of the change on the website or by email at least 30 days before the change takes effect. Your continued use of Propovo after the price change becomes effective constitutes your agreement to pay the changed amount.

All subscription fees are non-refundable except as expressly stated in these Terms or as required by applicable law. Subscriptions will automatically renew for the same subscription period unless cancelled before the renewal date.

7. Intellectual Property

Propovo and its original content, features, and functionality are owned by Xirosys Cloud Pvt Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain ownership of all proposal content you create, upload, or post using Propovo. By creating content on our platform, you grant Propovo a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, and distribute your content solely for the purpose of providing, maintaining, and improving the Service. This license is necessary for us to process, store, and deliver your proposals and related communications.

You represent and warrant that you own or have the necessary rights to all content you create on Propovo and that your content does not infringe or violate the rights of any third party.

8. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Propovo, you consent to the collection and use of your information as described in our Privacy Policy.

You acknowledge that proposals and related data may be stored on our servers and that we may need to access this data to provide technical support, maintain the Service, or comply with legal obligations.

9. Termination

We may suspend or terminate your access to Propovo, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use Propovo will immediately cease. You may download your proposal data for a period of 30 days after termination, after which we may delete your data in accordance with our data retention policies.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Limitation of Liability

In no event shall Propovo, Xirosys Cloud Pvt Ltd, or its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Business losses resulting from proposal rejections or client communications

Propovo is a tool to facilitate proposal creation and communication. We are not responsible for the business outcomes of your proposals or client relationships.

11. Changes to the Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any changes by updating the "Last Updated" date at the top of these Terms and, in some cases, we may provide additional notice (such as adding a statement to our homepage or sending you an email notification).

Your continued use of Propovo after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new terms, you should stop using the Service and delete your account.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Any disputes arising out of or relating to these Terms or your use of Propovo shall be resolved exclusively in the courts located in Delhi, India, and you consent to the personal jurisdiction of such courts.
